1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and EmesOrd Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales, operating the UniFluent mobile application ("App") and related services ("Services").

By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

We may update these Terms from time to time. We will notify you of significant changes via email or in-app notice. Continued use after changes constitutes acceptance.

2. Eligibility and Age Requirements

Users aged 18 and over: You may use the Services without restriction.

Users aged 13–17: You may use the Services with the awareness and permission of your parent or guardian. Your parent or guardian should review these Terms and our Privacy Policy.

Users under 13: You must have parental or guardian consent before creating an account. If you are a parent or guardian and believe your child under 13 has created an account without your consent, please contact us and we will delete the account.

If you are accessing the Services on behalf of an organisation (such as a university), you represent that you have authority to bind that organisation to these Terms.

The Services use artificial intelligence provided by third-party providers (including OpenAI, Google Cloud, Microsoft Azure, and Amazon Web Services) to generate educational content.

6. Subscriptions and Payments

In-App Purchases

UniFluent offers subscriptions and one-time purchases through the Apple App Store (iOS) and Google Play Store (Android). All payments are processed by Apple or Google — we do not directly handle your payment card details.

Free Trial

We may offer a free trial period to new users. At the end of the trial, your account will be charged at the subscription rate unless you cancel before the trial ends.

Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period (monthly or yearly). You can cancel at any time through your Apple or Google account settings. Cancellation takes effect at the end of the current billing period — you will retain access until then.

Refunds

Refund requests are handled by Apple or Google in accordance with their refund policies. We do not process refunds directly. If you believe you are entitled to a refund, please contact Apple or Google support, or email us for assistance.

Price Changes

We may change subscription prices from time to time. You will be notified of price changes in advance through the App Store or Play Store, and changes will not affect your current billing period.

7. Your Content and Intellectual Property

Your content

You retain ownership of all content you upload to the Services (notes, documents, essays, images, voice recordings). By uploading content, you grant us a limited licence to process it through our Services (including AI providers) solely to provide you with the educational features you have requested.

You represent that you have the right to upload any content you provide, and that it does not infringe any third party's intellectual property rights.

Our content

All intellectual property in the Services (including software, design, branding, and the UniFluent name) belongs to EmesOrd Ltd or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our written permission.

AI-generated content

Lessons, flashcards, translations, and other content generated by AI from your uploaded materials are provided for your personal educational use. You may use this generated content for your own study purposes.

9. Data, Privacy, and International Transfers

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

Your primary data is stored in the United Kingdom (London). To provide AI-powered features, some data is processed by service providers in the United States and the European Union. All international transfers are protected by Data Processing Agreements with Standard Contractual Clauses and, where applicable, the EU-US/UK Data Privacy Framework.

10. Institutional and B2B Use

If you are a university, school, or other institution accessing the Services under a separate agreement with EmesOrd Ltd:

11. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will give reasonable notice of significant changes where possible.

12. Termination

By you: You may delete your account at any time through the Settings screen. This will delete your personal data in accordance with our Privacy Policy.

By us: We may suspend or terminate your account if you breach these Terms, engage in prohibited activities, or if required by law.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the EU or UK, nothing in these Terms affects your statutory consumer rights.
