1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and EmesOrd Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales, operating the UniFluent mobile application ("App") and related services ("Services").

By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

We may update these Terms from time to time. We will notify you of significant changes via email or in-app notice. Continued use after changes constitutes acceptance.

2. Eligibility and Age Requirements

Users aged 18 and over: You may use the Services without restriction.

Users aged 13–17: You may use the Services with the awareness and permission of your parent or guardian. Your parent or guardian should review these Terms and our Privacy Policy.

Users under 13: You must have parental or guardian consent before creating an account. If you are a parent or guardian and believe your child under 13 has created an account without your consent, please contact us and we will delete the account.

If you are accessing the Services on behalf of an organisation (such as a university), you represent that you have authority to bind that organisation to these Terms.

3. Description of the Service

UniFluent is a language learning application that uses artificial intelligence to help users learn languages. The Services include:

• AI-powered lesson generation from your uploaded notes and documents
• Flashcard creation and study tools
• Pronunciation assessment
• AI voice conversation practice
• Audio lesson generation
• Essay evaluation
• Learning games and progress tracking

4. Artificial Intelligence and AI-Generated Content

The Services use artificial intelligence provided by third-party providers (including OpenAI, Google Cloud, Microsoft Azure, and Amazon Web Services) to generate educational content.

Important:

• AI-generated content is for educational purposes only and may contain errors or inaccuracies. You should not rely on it as the sole source of information for examinations or assessments.
• When you upload content or use voice features, your data is processed by AI providers. See our Privacy Policy for details.
• Your content is not used to train AI models. We have confirmed no-training policies with all AI providers.
• AI responses may vary and are not guaranteed to be consistent across sessions.
• We do not guarantee that AI-generated translations, lessons, or assessments are error-free.

5. Your Account

To use the Services, you must create an account with a valid email address and password. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Notifying us immediately if you suspect unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are used fraudulently.

6. Subscriptions and Payments

In-App Purchases

UniFluent offers subscriptions and one-time purchases through the Apple App Store (iOS) and Google Play Store (Android). All payments are processed by Apple or Google — we do not directly handle your payment card details.

Free Trial

We may offer a free trial period to new users. At the end of the trial, your account will be charged at the subscription rate unless you cancel before the trial ends.

Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period (monthly or yearly). You can cancel at any time through your Apple or Google account settings. Cancellation takes effect at the end of the current billing period — you will retain access until then.

Refunds

Refund requests are handled by Apple or Google in accordance with their refund policies. We do not process refunds directly. If you believe you are entitled to a refund, please contact Apple or Google support, or email us for assistance.

Price Changes

We may change subscription prices from time to time. You will be notified of price changes in advance through the App Store or Play Store, and changes will not affect your current billing period.

7. Your Content and Intellectual Property

Your content

You retain ownership of all content you upload to the Services (notes, documents, essays, images, voice recordings). By uploading content, you grant us a limited licence to process it through our Services (including AI providers) solely to provide you with the educational features you have requested.

You represent that you have the right to upload any content you provide, and that it does not infringe any third party's intellectual property rights.

Our content

All intellectual property in the Services (including software, design, branding, and the UniFluent name) belongs to EmesOrd Ltd or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our written permission.

AI-generated content

Lessons, flashcards, translations, and other content generated by AI from your uploaded materials are provided for your personal educational use. You may use this generated content for your own study purposes.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload content that is illegal, harmful, abusive, or infringes third-party rights
• Attempt to gain unauthorised access to the Services or other users' accounts
• Use automated scripts, bots, or scrapers to access the Services
• Interfere with or disrupt the Services or servers
• Resell, redistribute, or commercially exploit the Services without our permission
• Impersonate another person or misrepresent your identity
• Use the Services to develop a competing product

We reserve the right to suspend or terminate your account for violations of these rules.

9. Data, Privacy, and International Transfers

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

Your primary data is stored in the United Kingdom (London). To provide AI-powered features, some data is processed by service providers in the United States and the European Union. All international transfers are protected by Data Processing Agreements with Standard Contractual Clauses and, where applicable, the EU-US/UK Data Privacy Framework.

10. Institutional and B2B Use

If you are a university, school, or other institution accessing the Services under a separate agreement with EmesOrd Ltd:

• The terms of your institutional agreement take precedence over these Terms where they conflict.
• You are responsible for ensuring your users (students, staff) are aware of these Terms and the Privacy Policy.
• EmesOrd Ltd will act as a data processor in relation to student data, as defined in your Data Processing Agreement.
• We will provide a subprocessor list and notify you of changes in accordance with the DPA.

11. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will give reasonable notice of significant changes where possible.

12. Termination

By you: You may delete your account at any time through the Settings screen. This will delete your personal data in accordance with our Privacy Policy.

By us: We may suspend or terminate your account if you breach these Terms, engage in prohibited activities, or if required by law.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In particular:

• AI-generated content may contain errors and should not be solely relied upon for academic assessments
• Pronunciation scores are indicative and may not reflect the assessment of a qualified language teacher
• We do not guarantee specific learning outcomes
• The Services are not a substitute for formal language education or qualified instruction

14. Limitation of Liability

To the fullest extent permitted by law:

• EmesOrd Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
• We are not liable for any loss of data, academic outcomes, or decisions made based on AI-generated content.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

15. Indemnification

You agree to indemnify and hold harmless EmesOrd Ltd and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, your content, or your breach of these Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the EU or UK, nothing in these Terms affects your statutory consumer rights.

17. General Provisions

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and EmesOrd Ltd regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: We may assign our rights and obligations under these Terms. You may not assign your rights without our prior written consent.
• Third parties: These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
